1. Agreement to Terms

By creating an account or using Morphly.social ("Morphly," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Morphly.social is a multi-platform social media publishing service that enables users to create content once and publish or schedule it across multiple social media platforms. The Service includes content creation tools, platform-specific content adaptation, scheduling, analytics, and workspace management features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

3. Account Registration and Security

To use the Service, you must:

• Be at least 16 years of age
• Provide accurate, complete, and current registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately at support@morphly.social of any unauthorized access to or use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Publish, schedule, or distribute content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable
• Distribute spam, unsolicited promotions, or automated mass messages across connected platforms
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure
• Use the Service to scrape, harvest, or collect data from connected platforms in violation of their terms
• Upload or transmit viruses, malware, or other harmful code
• Use automated tools (bots, scripts, crawlers) to access the Service without our express written permission
• Circumvent, disable, or interfere with security features of the Service

Violation of this section may result in immediate suspension or termination of your account without prior notice.

You are solely responsible for the content you publish through the Service. You represent and warrant that:

• You own or have the necessary rights and licenses to use and distribute the content
• Your content does not infringe or violate any third party's intellectual property, privacy, or other rights
• Your content complies with applicable laws and the terms of service of each connected platform

We reserve the right to remove content that violates these Terms or that we reasonably believe to be harmful, without prior notice. We are not obligated to monitor content but may do so at our discretion.

7. Third-Party Platform Integrations

The Service connects to third-party social media platforms (e.g., Instagram, Twitter/X, LinkedIn, Facebook, TikTok). Your use of these integrations is subject to:

• The terms of service and privacy policies of each connected platform
• Each platform's API usage policies and rate limits
• Any changes or restrictions imposed by these platforms that may affect Service functionality

We do not guarantee uninterrupted access to any third-party platform. Changes to platform APIs or policies may affect the availability of certain features. We are not responsible for actions taken by third-party platforms regarding your content or account.

8. Payment and Billing

Certain features of the Service may require a paid subscription. If you purchase a subscription:

• You agree to pay all applicable fees as described at the time of purchase
• Subscriptions automatically renew unless cancelled before the renewal date
• Prices may change with at least 30 days' notice before your next billing cycle
• Refunds are handled on a case-by-case basis; contact support@morphly.social for refund requests
• You are responsible for any applicable taxes

Free tier features may change at our discretion. We will provide reasonable notice before removing features from the free tier that you actively use.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We may modify, update, or discontinue features of the Service at any time. For significant changes that materially affect your use, we will provide reasonable advance notice.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORPHLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Morphly, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you publish or distribute through the Service

12. Dispute Resolution

These Terms are governed by the laws of Bangladesh, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules in Dhaka, Bangladesh.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your account if:

• You violate these Terms or any applicable law
• Your account has been inactive for an extended period
• Continued provision of the Service to you is no longer commercially viable
• Required by law or a regulatory authority

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be deleted unless retention is required by law. You may request an export of your data before or within 30 days of termination.

14. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page with a revised date and, where appropriate, via email or in-app notification.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.
